1. About Bookpheral

Bookpheral is a digital platform that supports the professional production, protected digital distribution, sale, discovery, and access of books and educational content.

Bookpheral serves educators, readers, institutions, professional bodies, and other approved users.

2. Who These Terms Apply To

These Terms apply to anyone who accesses or uses Bookpheral.

For these Terms:

“Educator” means an author, lecturer, professor, teacher, researcher, professional trainer, subject-matter expert, rights holder, or other approved person using Bookpheral in connection with educational content.

“Reader” means anyone who purchases or accesses books or educational content through Bookpheral.

“Institution” includes universities, colleges, schools, departments, professional associations, training organizations, research organizations, and similar bodies.

“User” means any person or organization using the Platform.

Educators who distribute titles through Bookpheral will also be required to accept a separate Bookpheral Distribution Agreement.

Where Bookpheral provides professional production services, separate production terms, quotations, or service agreements may also apply.

3. Eligibility

You must have the legal capacity to enter into a binding agreement to use Bookpheral independently.

If you use Bookpheral on behalf of an institution, organization, rights holder, or another person, you confirm that you have authority to act on their behalf.

Bookpheral may request reasonable information to verify your identity, authority, account, or eligibility to use particular services.

4. Accounts

Some Bookpheral services require an account.

You agree to provide accurate and current information when creating and maintaining your account.

You are responsible for keeping your login information secure and should notify Bookpheral promptly if you believe your account has been accessed without authorization.

You may not sell, transfer, or deliberately share your account in a way that allows unauthorized access to protected content or services.

Bookpheral may require additional verification before allowing certain transactions, withdrawals, content submissions, or account changes.

5. Acceptable Use

You must not use Bookpheral to:

1. violate applicable law;
2. infringe another person’s intellectual property, privacy, or other rights;
3. upload or distribute unlawful, fraudulent, or malicious material;
4. interfere with the security or proper operation of the Platform;
5. obtain unauthorized access to another User’s account;
6. bypass or interfere with content-protection measures;
7. manipulate transactions, reviews, referrals, payments, or Platform activity;
8. impersonate another person or falsely represent your authority or institutional affiliation;
9. use automated tools to scrape or extract Platform content without permission; or
10. use the Platform in a way that materially harms Bookpheral, other Users, or the integrity of the service.

6. Bookpheral’s Intellectual Property

The Bookpheral name, logo, branding, software, Platform design, interfaces, graphics, website content, and other materials created or owned by Bookpheral remain the property of Bookpheral or its licensors.

Using the Platform does not transfer ownership of these materials to you.

You may use Bookpheral only for its intended purposes and in accordance with these Terms.

7. Educator Content

Educators retain ownership of the books, manuscripts, educational materials, and other original content they own.

Uploading, submitting, or storing content on Bookpheral does not by itself transfer ownership of that content to Bookpheral.

Distribution rights for a particular title are governed separately by the Bookpheral Distribution Agreement accepted for that title.

Where an Educator submits material belonging partly or wholly to another person, the Educator is responsible for having the necessary authority or permission to do so.

8. Purchasing Content

Readers may purchase or otherwise receive authorized access to books and educational content made available through Bookpheral.

The applicable price will be displayed before payment is completed.

A purchase is treated as completed only after Bookpheral or its payment provider confirms successful payment.

Additional taxes or transaction charges may apply where required and will be disclosed or reflected in the final amount payable.

9. Digital Access

Unless expressly stated otherwise, purchasing digital content gives the Reader a personal right to access the content through the authorized Bookpheral environment.

Purchasing access does not transfer copyright or ownership of the underlying work to the Reader.

Reader access is personal and must not be sold, transferred, reproduced, publicly distributed, uploaded elsewhere, or shared with unauthorized persons.

Bookpheral may apply reasonable security or device controls to protect content against unauthorized distribution.

10. Protected Content

Bookpheral may use technical measures intended to reduce unauthorized copying, downloading, forwarding, or distribution.

Users must not deliberately bypass, disable, remove, or interfere with these protections.

Bookpheral may restrict or suspend access where there is credible evidence that an account is being used to distribute protected content without authorization.

No digital protection system can completely eliminate piracy or unauthorized copying, and Bookpheral does not guarantee that such activity will never occur.

11. Payments

Bookpheral may use third-party payment processors, banks, or financial service providers to process transactions.

Users are responsible for providing accurate payment information.

Transactions may be delayed, declined, reversed, or reviewed where required by the payment provider, applicable law, fraud-prevention procedures, or security checks.

Bookpheral is not responsible for delays caused solely by banks, payment providers, or other financial systems outside its reasonable control.

12. Refunds

Refund requests will be handled in accordance with Bookpheral’s Refund Policy and applicable consumer protection requirements.

A refund may be considered where, for example:

1. a duplicate or unauthorized payment has occurred;
2. purchased access was not provided;
3. a material technical problem prevents reasonable use of the purchased content and cannot be resolved within a reasonable period; or
4. the content or service was materially different from its description.

Where digital content has already been substantially accessed, Bookpheral may decline a refund requested solely because a Reader changed their mind, except where applicable law provides otherwise.

13. Educator Earnings and Withdrawals

Where an Educator earns revenue through Bookpheral, the applicable revenue share and commercial terms will be governed by the relevant Distribution Agreement or other applicable arrangement.

Educators may request withdrawal of their Available Earnings at any time.

“Available Earnings” means amounts that have been successfully settled and are not pending, refunded, reversed, subject to chargeback, or reasonably held for fraud, compliance, or payment review.

Bookpheral will process valid withdrawal requests within 1–3 business days, subject to:

1. banking or payment-provider processing times;
2. identity or account verification;
3. applicable transaction limits; and
4. legal or regulatory requirements.

Where a refund, chargeback, reversal, or valid adjustment occurs after earnings have been withdrawn, Bookpheral may deduct the corresponding amount from future earnings or otherwise recover the amount where reasonably necessary.

Any applicable third-party transfer or withdrawal charges will be disclosed where relevant.

14. Production Services

Bookpheral may provide or coordinate professional production services, including editing, cover design, digital formatting, ISBN registration, production quality assurance, and related services.

Production services are separate from ordinary Platform use.

Before production work begins, the Educator will ordinarily receive a quotation, scope of work, or other written terms explaining the services, applicable fees, and relevant conditions.

Bookpheral may use approved third-party professionals or production partners where necessary.

Using a production partner does not transfer ownership of the Educator’s intellectual property to that partner.

15. Institutional Use

Bookpheral may enter into arrangements with universities, schools, departments, professional bodies, training organizations, and other institutions.

Institutional arrangements may include separate terms relating to access, pricing, administration, reporting, or content distribution.

Where separately agreed institutional terms conflict with these Terms, the more specific institutional terms will apply to that arrangement.

16. Academic Integrity and Student Fairness

Bookpheral supports educators earning from their intellectual work without compromising the integrity of the educator–student relationship.

Where Educators distribute materials to their own students, use of Bookpheral must remain consistent with applicable institutional policies and academic standards.

Bookpheral does not support using the purchase of educational content as an illegitimate condition for:

1. receiving grades;
2. favorable assessment outcomes;
3. preferential treatment; or
4. avoiding an improper academic disadvantage.

This does not prevent legitimate required course materials where their adoption is permitted by applicable institutional and academic rules.

Bookpheral may investigate credible reports of misuse and restrict or terminate services where appropriate.

17. Personal Information

Bookpheral collects and processes personal information in connection with account creation, transactions, payments, withdrawals, customer support, security, communications, and operation of the Platform.

Personal information will be handled in accordance with Bookpheral’s Privacy Policy and applicable data protection law.

The Privacy Policy should be read together with these Terms.

18. Communications

By creating an account, you agree that Bookpheral may send communications reasonably necessary to provide the service, including:

1. account notifications;
2. payment and transaction confirmations;
3. withdrawal information;
4. security notices;
5. service updates;
6. production or content updates;
7. legal or policy notices; and
8. customer-support communications.

Marketing communications will be handled separately and may be subject to available preference or unsubscribe options.

19. Platform Availability

Bookpheral aims to keep the Platform reliable and accessible but does not guarantee uninterrupted or error-free availability at all times.

Access may occasionally be interrupted because of maintenance, upgrades, security issues, technical failures, third-party services, or events outside Bookpheral’s reasonable control.

Where possible, Bookpheral will take reasonable steps to restore affected services promptly.

20. No Guarantee of Commercial Results

Bookpheral does not guarantee that:

1. any particular title will achieve a specific number of sales;
2. an Educator will earn a particular amount;
3. promotional activity will produce a particular result;
4. a title will receive institutional adoption; or
5. piracy can be eliminated completely.

Any examples, projections, estimates, or promotional statements should not be interpreted as guarantees unless expressly stated otherwise in writing.

21. Suspension or Restriction

Bookpheral may suspend or restrict an account or particular service where reasonably necessary because of:

1. suspected fraud;
2. serious security concerns;
3. unlawful conduct;
4. repeated or material breach of these Terms;
5. infringement of another person’s rights;
6. misuse of protected content;
7. unresolved payment obligations;
8. misuse affecting students or institutions; or
9. conduct that creates material risk to Bookpheral or other Users.

Where reasonably practical, Bookpheral will explain the reason for the restriction and provide an opportunity to resolve the issue.

22. Closing an Account

Users may request closure of their Bookpheral accounts.

Account closure may be subject to:

1. outstanding transactions;
2. unresolved withdrawals or refunds;
3. lawful Reader access already purchased;
4. active distribution arrangements;
5. contractual obligations; or
6. legal record-retention requirements.

Closing an account does not automatically terminate a separate Distribution Agreement or other contract unless the applicable agreement provides otherwise.

23. Liability

Each Party remains responsible for losses arising from its own fraud, negligence, unlawful conduct, or material breach of applicable obligations.

To the extent permitted by law, Bookpheral will not be responsible for losses caused solely by:

1. User misuse of the Platform;
2. inaccurate information supplied by a User;
3. unauthorized third-party activity that Bookpheral could not reasonably prevent;
4. third-party payment, banking, internet, hosting, or technical failures outside Bookpheral’s reasonable control;
5. infringement caused by content supplied by a User; or
6. an expected commercial outcome not being achieved.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

24. Third-Party Services

Bookpheral may rely on third-party services, including payment processors, hosting providers, technical vendors, production partners, and communication providers.

Those services may have their own lawful terms and operating requirements.

Bookpheral will take reasonable care in selecting and managing providers but cannot guarantee the uninterrupted operation of third-party systems outside its control.

25. Changes to These Terms

Bookpheral may update these Terms as its services, legal requirements, technology, or operations change.

Where an update materially affects Users’ rights or obligations, Bookpheral will provide reasonable notice through the Platform, email, or another appropriate method.

Changes take effect on the stated effective date.

Where required, Users may be asked to accept revised Terms before continuing to use the affected service.

26. Electronic Acceptance

These Terms may be accepted electronically.

Selecting “I Agree,” “Accept,” “Accept and Continue,” or another clearly identified acceptance mechanism constitutes your agreement to the version of the Terms presented to you.

Bookpheral may keep an electronic record of:

1. the version accepted;
2. the date and time of acceptance;
3. the account associated with the acceptance; and
4. other information reasonably necessary to demonstrate acceptance.

Accepting these Terms does not by itself grant Bookpheral distribution rights over an Educator’s books or other intellectual property.

Those rights arise only under a separate Distribution Agreement accepted for the relevant title.

27. Relationship Between the Parties

Nothing in these Terms creates an employment relationship, partnership, joint venture, fiduciary relationship, or general agency relationship between Bookpheral and a User.

Each Party remains independent.

28. Assignment

Users may not transfer their rights or obligations under these Terms where doing so would materially affect Bookpheral without prior consent.

Bookpheral may transfer its rights and obligations as part of a legitimate merger, acquisition, restructuring, financing, or transfer of its business, provided that Users’ substantive rights are not materially reduced solely because of that transfer.

29. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

30. No Waiver

A failure by either Party to enforce a right immediately does not mean that right has been waived.

31. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

32. Dispute Resolution

Where a dispute arises, the Parties should first attempt to resolve it through good-faith discussion.

A User wishing to raise a formal dispute should notify Bookpheral in writing and provide reasonable details of the issue.

If the dispute remains unresolved after 30 days, the Parties may attempt mediation in Lagos State.

If mediation does not resolve the matter, either Party may bring proceedings before a court of competent jurisdiction in Lagos State, Nigeria.

Nothing in this clause prevents a Party from seeking urgent legal relief where reasonably necessary to protect intellectual property, confidential information, funds, security, or other rights.

33. Documents That Form Part of Your Relationship With Bookpheral

Depending on the services you use, your relationship with Bookpheral may also be governed by:

• the Bookpheral Privacy Policy;
• the Bookpheral Refund Policy;
• the Bookpheral Distribution Agreement, where you distribute a title;
• applicable Production Terms, quotations, or service agreements;
• specific Institutional Agreements; and
• other terms expressly presented and accepted in connection with a particular service.

Where a more specific agreement conflicts with these general Terms, the more specific agreement will apply to the matter it was created to govern.
